General Conditions for Use of COSTCO CASHBACK REWARD

Article 1 (Purpose of the General Conditions)
The General Conditions for Use (hereinafter referred to as “the General Conditions”) stipulates the terms and conditions that apply to the use of the COSTCO CASHBACK REWARD (“the Reward” defined below) managed by Costco Wholesale Japan, Ltd. (hereinafter referred to as “the Company”), which is a function of the Costco Global Card (hereinafter referred to as “the Global Card”) that is an Orico affiliated credit card with the Mastercard brand issued by Orient Corporation (hereinafter referred to as “Orico”), and the holder of COSTCO CASHBACK REWARD (“the Global Card member” defined below) shall conduct transactions according to the General Conditions.

Article 2 (Definitions)
The definitions of the terms used in the General Conditions shall be as follows unless otherwise defined.
(1) Reward
The points that are given based on the usage result of the Global Card (no point is given for the usage for charge to Rakuten Edy or nanaco and by some methods designated by the Company such as use of the Reward) are converted into the money value data having the function that allows purchase of the products at Costco warehouse stores and the Costco gas stations and deposited as the electronic data into the Global Card. The Reward is the service that the Global Card member can use or the money deposited according to the General Conditions. The remaining amount of the Reward as of the date of the last use of the Reward is hereinafter referred to as the “balance”.
(2) Global Card member
This is a person who has been accepted as the Global Card member by Orico and who has understood, agreed to and consented to all of the provisions of the General Conditions. There are two types of the Global Card members as shown below, but in the General Conditions, the term “Global Card member” may be used without specific distinction of members
(i) Global Card primary member
This is a person who is a Costco member (irrespective of primary member or household member) and who has been acknowledged as the Global Card principal member by Orico. The usage result of the Global Card primary member includes not only his/her own usage result of the Global Card but also the usage result of the Global Card by his/her household members, and the points that are given based on the usage result are converted and the Reward is deposited directly from the Company. The primary member shall be a person who actually owns the Reward and uses the Reward according to the General Conditions.
(ii) Global Card household member
This is a person who has been acknowledged as the Global Card household member by Orico. When the Global Card household member uses the Global Card, the usage is incorporated into the usage result of the Global Card primary member. Accordingly, the Reward is not deposited for the Global Card household member, and therefore, the Reward will not be used by the household member.
(3) Products
This is the generic term for the products sold in the stores accepting the Reward (excluding some products designated by the Company such as products sold in food courts, partial bearing of pharmacy expense, etc.) or the works and services provided (excluding some works and services designated by the Company such as delivery fee to be paid at a delivery counter, etc.). The Costco annual membership fee may be paid using the Reward, and the annual membership fee is included in the products defined in the General Conditions.
(4) Stores accepting the Card
These are the Company’s facilities in which the Global Card can be used, and all the Costco warehouses and the Costco gas stations in Japan fall under those facilities. (5) Stores accepting the Reward
These are the Company’s facilities in which the Reward can be used, and all the Costco warehouses and the Costco gas stations in Japan fall under those facilities. (6) Use for purchase of products
This is the generic term for the actions of claiming the provision of products and receiving the products by presenting the Reward with the balance necessary for the provision of the products to the stores accepting the Reward.
(7) Inquiry for the balance
This is the term for the action of checking the balance of the Reward using the method designated by the Company.
(8) Use
This is the generic term for the actions regarding inquiry for the balances of the Reward and use of the Reward to purchase products.

Article 3 (Precautions for the use of the Global Card and the Reward)
1. Only the Costco member who has a membership within the expiration date shall be able to use the Global Card or the Reward in any of the Costco warehouses and the Costco gas stations in Japan. The Global Card member who loses the qualification of Costco membership shall be unable to use the Global Card or the Reward in any of the Costco warehouses and the Costco gas stations in Japan, and the member shall not have any right to claim any refund or repayment, for any reason, to the Company by reason of annulment of the Reward.
2. Notwithstanding the preceding paragraph, even if the Global Card member loses the qualification of Costco membership, the Global Card can be continuously used as a credit card in any shop other than the Costco warehouses and the Costco gas stations, and the Reward is deposited based on the usage result according to the next Article.
3. Only the holder of the Global Card can use the Reward. The Reward cannot be transferred to a third party whether with or without consideration. Also, the name of the Global Card holder shall be identical with the name of the Costco member corresponding to the Costco membership number.
4. The balance of the Rewards for two or more Global Card members cannot be integrated in one Global Card.
5. Even if the Global Card becomes invalid, the Reward can be used till the expiration date. However, it is recommended that you should use the Reward before it becomes invalid regardless.
6. It is strictly prohibited to falsify, counterfeit, or alter the Reward.
7. To avoid damaging the function of the Reward, please do not stain or fold the Global Card or hold it close to magnetism.

Article 4 (Deposit of the Reward)
The points that are given according to the usage result of the Global Card in the period from January 1 to December 31 in the previous year are converted, and the Reward is deposited once a year (on February 1 every year. *A delay of several days may occur.) If the Global Card has been invalid at the time of the deposit, the Reward shall not be deposited.

Article 5 (Method of the use for purchase of products)
1. When products are purchased with the Reward, the Global Card must be presented at the checkout counters where the Global Card is available in the stores accepting the Reward. The total amount of purchase of the products shall be deducted from the balance of the Reward of the Global Card, which results in the same effect as payment by cash.
2. If the balance of the Reward of the presented Global Card is less than the total amount of purchase of products, then the balance due shall be paid in the form of cash or in some other forms of payment that are designated by the Company.
3. Up to one Global Card shall be used for each payment. (Only the Reward deposited into one Global Card can be used.)
4. After using the Global Card for the purchase of products by any of the methods described in the preceding paragraphs, the Global Card member shall receive a receipt, statement, or some other document designated by the Company (hereinafter referred to as “the receipt”) from the store accepting the Reward, which indicates the amount of the Reward used, and should confirm immediately that there is no mistake in the items described in the receipt. Except special circumstances where the Global Card member informs the store of any mistake when receiving the receipt, the Global Card member shall be deemed that he/she has confirmed that there is no mistake in the items described in the receipt.
5. When the product that was purchased using the Reward (in whole or in part) has been returned, the refund shall be made through the cancellation processing of the Global Card settlement or payment in cash.
6. When the product that was purchased using the Global Card has been returned, the points based on which the Reward is deposited are reduced according to the return amount at the time of the return of the product. Please note that the remaining points may become negative depending on the purchase and return timing and the Reward deposit timing.

Article 6 (Method of balance inquiries)
1. The member may check the balance of the Reward on the website designated by the Company. However, for the convenience of the system, the contents that can be shown on the website shall be determined by the Company.
2. In order that the Global Card member checks the balance of the Reward on the website designated by the Company, the Costco member number given on the back of the Global Card, the Reward number, and other information designated by the Company are required.

Article 7 (Change or abolition of the Reward)
The Company can change or abolish the handling of the Reward due to the change of the social situation, the establishment, revision or abolition of related laws and regulations, etc. or any other reasons of the Company. In this case, the Global Card member cannot ask the Company for cashing, refund, etc. of the balance of the Reward. However, if change or abolition of the handling of the Reward that has been already deposited has an influence on the Global Card members, the Company shall make an effort to reduce the influence on the Global Card members through measures such as securing of opportunities for the Global Card members to use the Reward by setting the rational notification period in advance.

Article 8 (Handling of the Reward at the time of loss or theft)
1. When the Global Card has been lost or stolen, or it has been used by a third party without permission of the Global Card member, the Company will not be able to give any compensation or any refund for the Reward. Also when a problem has occurred with respect to the use of the Reward due to falsification, etc., the Company shall not make refund, etc.
2. When, because of some incidents such as losing the Global Card, a new Global Card is issued and there is some balance of the Reward, in principle, it will be transferred to the new Global Card. However, in this case, the expiration date of the Reward shall not be changed or be extended.

Article 9 (Unauthorized acquisition, use, etc.)
1. In any of the cases described below, the Company may refuse the use of the Reward and consider the Reward itself as invalid. In such a case, the Global Card member shall not have any right to claim cashing / refund of the Reward, or repayment of the Reward etc.
(i) When the Global Card member has acquired the Reward by an unauthorized method, or the Global Card member has used or tried to use the Reward while knowing that the Reward has been acquired by an unauthorized method.
(ii) When the Reward is falsified, counterfeited, or altered regardless of whether such acts were performed by the Global Card member or someone else.
(iii) When the Global Card member has violated any of the General Conditions.
(iv) When the Company has recognized the use of the Reward as being unauthorized.
(v) When the Company has rationally judged that the use of the Reward should not be accepted.
2. If the respective items prescribed in the preceding paragraphs are suspected, the Company shall have the right to temporarily reject the use of the Reward in order to investigate the matter, and then to take back the Global Card.

Article 10 (Limitation on the expiration date for the use) [Important matters]
1. The Reward that has not been used as of the end (December 31) of the year to which the deposit day (February 1 every year, in principle) belongs shall become invalid. In such a case, the Company shall not provide any cashing, refund, etc. regardless of the presence or absence of the balance or the amount of the Reward. The Global Card member shall not be able to use the Reward which has expired and shall not be entitled to ask the Company for cashing, refund or repayment, for any reason on the invalid Reward.
2. The Global Card member shall be responsible for paying due attention to the expiration date of the Reward at his/her own risk.

Article 11 (System maintenance, failure, etc.)
The Company takes all possible measures to ensure the design and the management of the system for the Reward. However, there may be temporary interruptions in the partial use or full use of the Reward without notice in all or some of the stores accepting the Reward, due to blackouts, system failures, maintenance, measures for card counterfeiting, and other unavoidable circumstances. In this case, the Company shall assume no responsibility for any inconvenience or damages caused by the temporary inability to use the Reward.

Article 12 (Entrustment of the operations)
The Company may entrust the operations concerning the Reward to a third party.

Article 13 (Prohibition of the setting of the security right such as the right of pledge)
1. The Global Card member shall not be able to set the security as the right of pledge, etc. for the Reward.
2. If the Global Card member violate the preceding paragraph, the Company shall not get involved in or be held responsible for any trouble that is caused by the violation.

Article 14 (Jurisdiction)
If a dispute regarding the use and transaction based on the General Conditions occurs between the Global Card member and the Company, the Tokyo Summary Court or the Tokyo District Court shall have exclusive agreement jurisdiction for the first trial.

Article 15 (Change of the General Conditions)
1. The General Conditions may be changed without prior notice to the Global Card member.
2. The Company discloses the General Conditions on the Company’s website, and if any change is made to the General Conditions, the Company shall show the changed General Conditions on the Company’s website for the specified period.
3. When the Global Card member has used the Reward after the Company makes any change to the General Conditions, the Global Card member shall be deemed to have agreed to the changed General Conditions.

Supplementary Provision
The General Conditions shall be applied from January 1, 2018.
